These Terms & Conditions apply to services provided by Joseph Dunn-Cooper, a sole trader trading as Orange Pixel Media (“Orange Pixel Media”, “we”, “us” or “our”). The person or organisation booking the work is referred to as the “Client”, “you” or “your”.
They are intended to set a consistent framework for the different types of work Orange Pixel Media provides. Because no two projects are identical, your quotation, booking form, invoice or other written project agreement will set out the specific commercial details for your booking.
01 — About these terms
These terms apply to Orange Pixel Media videography, photography, editing, content production, social media content, AI-assisted content and related creative services unless a project-specific agreement states otherwise.
Your project-specific documents may set out the services, deliverables, dates, locations, price, payment schedule, turnaround, revision allowance and other requirements. If a project-specific written agreement expressly differs from these terms on a particular point, the project-specific agreement takes priority for that point.
Nothing in these terms removes rights or remedies that cannot legally be excluded.
02 — Bookings & project confirmation
A project is confirmed only when any payment required to secure it has been received and any required booking form, agreement or requested project information has been completed.
Until confirmation, dates and production capacity may remain available to other clients. Orange Pixel Media will provide the agreed services with reasonable care and skill.
Changes to the agreed scope after booking may affect the price, schedule or deliverables and may require a revised quotation or additional payment.
03 — Prices & payment
The price and payment schedule for each project will be confirmed in the relevant quotation, invoice, booking form or written agreement. Depending on the work, this may involve a booking payment, full payment in advance, staged payments or a balance due before final delivery.
Where a payment is required to reserve a date or production period, that date or capacity is not secured until payment is received. Where money remains outstanding, Orange Pixel Media may pause work or withhold final high-resolution deliverables until payment is received in full.
Additional work requested outside the agreed scope may be quoted and charged separately. Orange Pixel Media is not currently VAT registered, so VAT is not added to quoted prices unless this position changes and you are informed before booking.
04 — Cancellations & rescheduling
You may cancel a project by giving written notice. Any project-specific cancellation arrangement stated in your booking documents will apply.
Standard filmed-project cancellation arrangement
- More than 30 days before the project date — any booking payment already due or paid remains payable.
- 15 to 30 days before the project date — up to 50% of the total agreed project fee may be payable.
- Less than 15 days before the project date — the full agreed project fee may be payable.
These amounts reflect reserved production time, work already undertaken and losses that may arise from a late cancellation. Where the actual position means a lower amount is appropriate, Orange Pixel Media may reduce the amount charged.
If you ask to move a confirmed date, we will make reasonable efforts to accommodate the change subject to availability. A rescheduling fee of up to 10% may apply where the request is made less than 14 days before the original date, particularly where costs have already been incurred or the date cannot reasonably be rebooked.
05 — Travel, locations & access
Unless otherwise agreed, standard project fees include travel within a 10-mile radius of Orange Pixel Media's base in Croydon. Work outside that area may incur agreed mileage, public transport, parking, toll, congestion, accommodation or other reasonable travel costs.
For locations more than approximately 40 miles away, overnight accommodation may be required depending on the schedule. Where accommodation is reasonably required for the agreed production, the Client will be responsible for the agreed cost.
The Client is responsible for obtaining required filming or photography permissions and paying venue or location fees unless we agree otherwise. The Client should ensure reasonable access to the location and any required working area. Where setup is necessary, access may be requested up to one hour before the scheduled start.
Orange Pixel Media is not responsible for missed or restricted coverage caused by denied access, venue rules, security restrictions, audience or third-party interference, or other circumstances outside our reasonable control.
06 — Client responsibilities
The Client must provide accurate information and reasonable cooperation needed to complete the project, including relevant timings, contacts, products, brand assets, scripts, factual information, permissions and approvals.
If missing information, late approvals or Client-requested changes delay the project, delivery dates may be moved accordingly.
The Client must provide a reasonably safe working environment. The Client may be responsible for reasonable repair or replacement costs where Orange Pixel Media equipment is damaged through negligent or deliberate acts by the Client, their staff, guests or people under their control.
07 — Filming, photography & production
Orange Pixel Media will use reasonable professional care when capturing and producing content. Unless a specific creative requirement has been agreed in writing, we retain reasonable artistic discretion over shot selection, framing, lighting, edit choices, pacing, colour treatment, sound treatment and the selection of material used in the final work.
We will make reasonable efforts to accommodate agreed shot lists and special requests but cannot guarantee every requested moment, person, product or scene will be captured or included.
Where weather, noise, crowds, lighting, venue conditions, equipment interference or other circumstances outside our reasonable control affect production, this will not by itself amount to a failure to provide the agreed service.
Orange Pixel Media may stop, postpone or modify work where continuing would create an unacceptable risk to people or equipment. For production days exceeding five hours, the Client should provide or allow reasonable access to food, snacks, drinking water, non-alcoholic refreshments and reasonable breaks for the production team.
08 — Editing, deliverables & revisions
The deliverables included with each project will be stated in the relevant project agreement. Only those agreed deliverables are included unless additional work is subsequently agreed.
Where no separate revision allowance is stated, the standard videography arrangement includes up to two rounds of reasonable minor revisions requested within 14 days of initial delivery.
A revision is a reasonable alteration to the agreed edit. It does not include rebuilding the project around a substantially different creative direction, creating additional deliverables, replacing previously approved material or adding work outside the original scope. Additional revisions may be charged separately after we tell you they fall outside the included work.
Errors made by Orange Pixel Media in implementing the agreed specification will be corrected without being treated as a Client-requested creative revision.
09 — Raw footage, RAW photographs & project files
Unless expressly agreed otherwise, raw footage, RAW photographs, unused takes, source recordings, editing timelines, project databases, templates, prompts and other working files are not included in the final deliverables.
You may request source material after a project, but Orange Pixel Media is not required to provide it. If we agree to supply it, an additional preparation, storage, transfer or licensing fee may apply.
10 — Delivery, review & archiving
Delivery times vary by project. Where a specific timetable is agreed in writing, we will make reasonable efforts to meet it. For general videography where no separate timeframe has been agreed, final delivery will normally be within six to eight weeks at the latest, with Orange Pixel Media aiming to deliver sooner wherever reasonably possible.
You should review completed deliverables promptly. Unless another review period is agreed, technical problems, missing agreed deliverables or other issues should be reported in writing within seven days of delivery. Later creative changes may be treated as additional work.
Orange Pixel Media will normally retain a master copy of completed final deliverables for approximately 12 months after completion. This is a convenience, not a backup service. You are responsible for downloading and safely storing your delivered files. After that period, availability cannot be guaranteed and retrieval or re-export may be chargeable.
11 — Copyright & Client usage rights
Unless expressly agreed otherwise, Orange Pixel Media retains copyright in original footage, photographs, edits and other creative work it produces.
Once all amounts due for the relevant project have been paid, the Client receives a non-exclusive licence to use the completed deliverables for the personal or commercial purposes for which they were commissioned, including normal use on the Client's website, social media, advertising and business channels where appropriate to the project.
This licence does not transfer ownership of Orange Pixel Media's copyright and does not permit the Client to sell, sublicense or distribute the work as stock content or as a standalone creative asset to unrelated third parties unless separately agreed.
12 — Portfolio & promotional use
For ordinary filmed, photographed or edited work, Orange Pixel Media may display completed work or reasonable extracts in its website, portfolio, showreel, social media and promotional materials unless the Client and Orange Pixel Media agree otherwise in writing.
13 — Client-supplied & third-party materials
Where the Client supplies music, photographs, video, logos, graphics, fonts, scripts, trademarks, testimonials or other material, the Client confirms that they have the rights and permissions needed for the intended use.
The Client is responsible for claims arising from Client-supplied material where Orange Pixel Media has reasonably relied on that permission. Third-party assets sourced by Orange Pixel Media remain subject to their own licence terms where applicable.
14 — Liability
Orange Pixel Media will take reasonable care in providing the services but cannot accept responsibility for losses caused by circumstances outside our reasonable control, Client error, inaccurate Client-supplied information, venue restrictions, third-party interference, platform changes or the failure of third-party services.
Where footage or deliverables are lost or unusable solely because of Orange Pixel Media's error, our liability will normally be limited to the amount paid for the affected project, except where the law does not allow liability to be limited or excluded.
Nothing in these terms limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, deliberate unlawful misuse of a person's likeness, or any other liability that cannot lawfully be limited.
Orange Pixel Media is not responsible for indirect or consequential losses, loss of profit, loss of opportunity or reputational loss to the extent that such liability can lawfully be excluded.
15 — Events outside our reasonable control
Neither party will be treated as in breach for delay or failure caused by events genuinely outside reasonable control, including severe weather, serious illness or emergency, transport disruption, venue closure, power or network failure, widespread platform outage, government restriction or comparable events.
Where this happens, the affected party should communicate as soon as reasonably possible and both sides will try to find a fair practical solution, such as rescheduling or adjusting the production plan.
AI-Assisted Services.
The following additional terms apply only where a booking includes AI-assisted content, a Digital Twin, synthetic or cloned voice, virtual appearance changes or similar synthetic-media production.
16 — How AI-assisted projects work
AI-assisted services remain part of Orange Pixel Media's normal creative-production relationship. The exact content batch, source shoot, deliverables, price and payment arrangement are set by the individual booking.
Where a service is described as monthly content, each paid content cycle is a separate purchase unless your booking expressly says otherwise. There is no automatic renewal simply because a previous month was completed. If you want another batch, a new payment or written confirmation is required.
Orange Pixel Media uses AI as a production tool alongside real footage, photographs, audio, Client information and human editing. AI-generated material may be combined with genuine footage and other Client-approved assets.
17 — Digital Twins, likeness & voice cloning
Orange Pixel Media will not intentionally create or use a Digital Twin, cloned voice or comparable synthetic representation of an identifiable adult without the required permission from that person.
Where these features are used, the person whose face or voice is represented (the “AI Subject”) will be asked to complete the relevant consent process. Where required by the technology provider, this may include recording a separate consent or identity-verification video.
Permission granted to Orange Pixel Media is limited to creating the agreed Client content and does not give Orange Pixel Media a general right to make the AI Subject appear to say, endorse or do things outside the agreed service.
If the Client and AI Subject are different people, the Client cannot give personal likeness or biometric consent on the AI Subject's behalf. The AI Subject must provide their own required permissions.
Orange Pixel Media will not create a Digital Twin or Voice Clone for a person under 18 as part of this service.
18 — Scripts, facts & Client approval
Where AI is used to make an AI Subject appear to deliver new wording, Orange Pixel Media will use a written approval process for substantive scripts or messaging.
Client silence is not approval of a substantive AI script. Changes that alter meaning, pricing, offers, treatment information, claims, endorsements or other material statements require approval before final generation or publication.
By approving a script or content plan, the Client confirms that they have checked the information they are responsible for, including names, prices, dates, offers, product availability, links, treatment details, claims, disclaimers and other factual statements.
Minor non-substantive editing needed for timing, grammar, pronunciation or natural delivery may be made where it does not materially change the approved meaning.
19 — AI output, virtual wardrobe & synthetic changes
AI-generated content can contain imperfections. These may include differences in lip-sync, gesture, pronunciation, tone, facial movement, clothing, hands, backgrounds, objects or other visual and audio details.
Orange Pixel Media will use reasonable care and human review but cannot guarantee that every generated frame will be indistinguishable from conventional footage or completely free from artefacts.
Virtual wardrobe, generated looks or other synthetic appearance changes will only be used within the scope agreed with the AI Subject or Client. Orange Pixel Media will not intentionally use these tools to make sensitive or identity-related changes outside the agreed purpose.
20 — Third-party AI providers
AI-assisted production may require specialist third-party services. Orange Pixel Media currently uses providers including HeyGen for functions such as Digital Twin creation, synthetic voice and AI video generation.
Use of those services is also subject to the provider's technical processes, privacy practices, moderation systems and service availability. Providers may process data outside the UK using the safeguards applicable to their service.
Orange Pixel Media may replace or add a provider where reasonably necessary to deliver the service. Where a change would materially alter how an AI Subject's likeness, voice or biometric information is processed, we will provide appropriate information and obtain new consent where required before using that new processing.
Provider outages, policy changes, moderation decisions, feature changes or technical limitations may affect production. Where this happens, Orange Pixel Media will make reasonable efforts to use an appropriate alternative workflow or agree a practical solution with the Client.
21 — Claims, regulated content & publication
The Client remains responsible for the truth, evidence, legality and continued accuracy of claims made in content published under their business or professional identity. This includes prices, promotions, product claims, treatment information, health or beauty claims, testimonials, qualifications and other statements requiring professional or regulatory accuracy.
Orange Pixel Media is a creative-production service and does not provide medical, legal or regulatory advice. We may refuse to produce wording that appears unlawful, misleading, unsafe, fraudulent, defamatory or inconsistent with a provider or platform's rules.
The Client is responsible for any disclosure, labelling, platform setting or advertising requirement that applies when they publish synthetic or AI-assisted content. Orange Pixel Media will not intentionally present synthetic content in a way designed to deceive viewers about a material fact.
22 — Consent withdrawal, future use & deletion
An AI Subject may withdraw consent for future consent-based use of their Digital Twin, cloned voice or biometric information by contacting Orange Pixel Media. Withdrawal applies prospectively and does not make earlier lawful processing invalid.
Following a valid withdrawal, Orange Pixel Media will stop new generation that depends on that consent and will take reasonable steps to deactivate or delete relevant avatar or voice assets from accounts under our control and, where appropriate, request deletion by the relevant provider.
Deletion by third-party providers may not be immediate and may be subject to their technical retention processes. Material already lawfully published, downloaded, shared or copied outside Orange Pixel Media's control cannot always be recalled from the internet.
Withdrawal may mean that an AI-assisted service can no longer continue. Work already completed, properly reserved production capacity and unavoidable commitments incurred before withdrawal remain payable where appropriate.
23 — Personal data & privacy
Orange Pixel Media processes personal information in connection with enquiries, bookings and production. AI-assisted services may involve additional information such as recorded video, photographs, audio, voice, facial likeness, consent records and provider verification information.
Where biometric information is processed for the purpose of uniquely identifying an AI Subject, additional data-protection requirements may apply and explicit consent may be required. Orange Pixel Media will keep AI consent separate and clear rather than treating it as automatically granted by accepting these general terms.

24 — Ending or refusing a project
Orange Pixel Media may pause, refuse or end work where payment is overdue, the Client materially breaches the agreed terms, required permissions are missing, the work becomes unsafe or unlawful, or the Client requests content that Orange Pixel Media or a required provider cannot lawfully or responsibly produce.
Where a project ends early, amounts due will be assessed by reference to work completed, reserved production time, committed costs and the applicable cancellation arrangement.
25 — General terms
If one part of these terms is found to be unenforceable, the remaining terms will continue to apply so far as legally possible.
A delay in enforcing a right does not automatically waive that right. These terms do not create a partnership, employment relationship or agency relationship between Orange Pixel Media and the Client.
These terms and the relevant project agreement are governed by the laws of England and Wales. The parties should first try to resolve any disagreement directly and in good faith before pursuing formal proceedings.
Orange Pixel Media may update these website terms from time to time for future bookings. The version that applied when a project was agreed will not be retrospectively replaced merely because this webpage is later updated, unless both parties agree to the change or the law requires it.
